Introduction
These Terms and Conditions (“Terms”) govern your use of the card and wallet services provided under the WINITY brand, a program operated by WTY Technology Hongkong Limited (“WTY,” “we,” “us,” or “our”). These Terms apply to all individuals or business users (“you” or “your”) who are approved to use WINITY services in accordance with our eligibility and compliance framework. By applying for, activating, or using any WINITY service, you agree to be bound by these Terms.
These services are provided on a commercial-use basis and are not available to the general public. Access is strictly limited to approved users meeting internal compliance and due diligence criteria, through our official authorised partner(s).
Document Scope
This document sets forth the specific terms and conditions for use of the WINITY card with supported digital wallet, Google Pay. It supplements the general WINITY Terms of Use and governs wallet integration, transaction authorisation, usage responsibilities, and digital wallet-specific limitations. Users must also comply with the privacy policies and terms of Google LLC, and any financial institution partners involved in the program.
Definitions
For the purposes of these Terms:
- “WINITY Services”: Refers to the suite of financial tools provided by WTY Technology Hong Kong Limited under the WINITY brand, including card distribution, wallet functionality, and integrations.
- “Card”: The WINITY-issued Visa®-branded payment instrument (physical or virtual).
- “Digital Wallet”: Any supported third-party mobile payment platform, including but not limited to Google Pay.
- “Approved Transaction”: Any lawful payment made in accordance with these Terms and all applicable laws.
- “User”: Any individual or entity approved by WINITY to access and use the services.
- “Partner”: An authorised issuer, custodian, processor, or vendor engaged by WINITY to provide regulated financial services, including card distribution and asset conversion.
- “Custody Wallet”: A third-party controlled wallet in which supported digital assets are temporarily held and converted to USD prior to use.
- “Services”: The WINITY-branded platform, including all features and components such as cards, mobile apps, web dashboards, integrations, and support systems.
Eligibility & Account Access
Eligibility for the WINITY card and wallet services is subject to prior approval by WTY and/or its issuing partners. Applicants must:
- Be at least 18 years of age.
- Meet all onboarding requirements, including KYC/AML verification.
- Not be located in or a resident of a prohibited or sanctioned jurisdiction.
- Not, as individual, be on any sanctions lists of any regulatory bodies or supranational institutions (eg. The United Nations).
Access to services may be restricted based on jurisdictional regulations, and any attempt to circumvent such controls may result in immediate suspension.
You are responsible for maintaining the confidentiality of your login credentials and securing any devices used to access WINITY services, and we shall not be responsible for any losses connected with your not maintaining such confidentiality. Unauthorised use of your account must be reported immediately to the relevant authorities and to our customer support avenues.
Issuer Card & Wallet Services
The WINITY card (virtual or physical) is issued through a licensed third-party financial institution, subject to applicable terms and regulatory conditions. All issued cards are denominated in United States Dollars (USD).
You may be issued a virtual card immediately upon approval. Physical cards may be requested where available, at an additional charge. Card types (e.g., metal or plastic) are offered based on eligibility criteria and program structure, and subject to the relevant charge payments in advance.
All supported digital asset balances are converted to USD before card usage. Users may not hold or spend digital assets directly through the WINITY card.
Authorised Use & Card Ownership
All WINITY cards remain the property of the issuing financial institution and must be returned or destroyed upon request, or upon the termination of services.
Users are granted a limited, revocable and non-transferable right to use the WINITY card for approved transactions in accordance with these Terms. You may not sell, transfer, or permit others to use your WINITY card or wallet.
All activity must be conducted by the account holder. WINITY reserves the right to request proof of control over the associated wallet, device, or identity if unauthorised use is suspected.
You acknowledge that your WINITY card is issued for your approved commercial-use purposes only. Any misuse or misrepresentation may result in immediate termination of your access and may result in further investigations.
Fees and Limits
Accounts that activate a virtual card but do not receive a minimum deposit of $25.00 within 14 days will have the virtual card automatically deactivated. This does not apply to virtual cards connected to an active physical card. Users may request reissue of a card at any time, subject to the relevant processes.
If a user surpasses the permitted number of active cards, their account may be temporarily restricted. For assistance, please reach out to our Support Team.
A minimum balance of $25 is required to complete card transactions. If your balance falls below this threshold, card usage will be temporarily disabled.
All monetary amounts indicated with “$” represent United States Dollars (USD).
WINITY retains the authority to revise fees, thresholds, and related terms at its discretion, in accordance with applicable regulations. It is the responsibility of users to remain informed of the latest fee schedule and policies. Ongoing use of WINITY services implies acknowledgment and acceptance of any updates.
Usage Guidelines
The WINITY card may only be used for lawful and permitted commercial transactions, subject to local regulations and card network rules. Users are expected to act responsibly and in compliance with all applicable laws.
Usage of the WINITY card for any of the following is strictly prohibited:
- Transactions related to gambling, adult services, controlled substances, or illicit trade.
- Activities in jurisdictions where WINITY services are restricted or prohibited.
- Attempts to use the card in a manner that circumvents applicable spending limits, card terms, or digital asset conversion procedures.
WINITY reserves the right to restrict or suspend services if unauthorised or suspicious activity is detected. In such cases, users may be contacted for additional verification. Failure to respond or resolve issues may result in permanent service revocation.
Cardholders must ensure that sufficient funds are available in their account to cover transactions, applicable fees, and any related charges. Any attempt to transact with insufficient funds may lead to transaction failure or service suspension.
Users are responsible for any charges incurred using their WINITY card. Refunds or disputes must be initiated directly with the merchant. WINITY will cooperate with chargeback requests as permitted under card network policies but makes no guarantees regarding outcomes.
Security & Fraud Protection
WINITY implements robust measures to protect user accounts and financial data. However, maintaining the security of your account is a shared responsibility.
You must take reasonable precautions to protect your account credentials, card information, and devices used to access WINITY services. This includes:
- Enabling device-level security features such as biometric authentication or strong PINs.
- Refraining from sharing your login credentials or card details with any unauthorised person.
- Using secure internet connections and avoiding public Wi-Fi for sensitive transactions.
If you believe your card or account has been compromised, lost, or subject to unauthorised activity, you must notify us immediately via our official support channels. Prompt reporting increases the likelihood of issue resolution and account recovery.
In the event of suspected fraud, WINITY may temporarily suspend card activity, request additional verification, and initiate an internal investigation. WINITY reserves the right to deny transactions or block access where security concerns or legal obligations arise.
We may cooperate with regulatory authorities and card issuers in connection with fraud investigations. Any confirmed fraudulent use may result in permanent service termination and potential legal action against you.
WINITY is not liable for losses resulting from your failure to secure your account or to promptly report suspicious activity. Users are expected to monitor their transaction history regularly via the WINITY dashboard, and all decisions by WINITY relating to your account is deemed final.
Use of the WINITY card and related digital wallet functionality is also governed by our Privacy Policy, which details how personal and device-related data is collected and used. You may access the Privacy Policy at https://winity.life/legal/privacypolicy/.
Replacement & Expiration
WINITY cards are valid through the expiration date printed on the physical card or as communicated digitally for virtual cards. Upon expiration, users may request a replacement card, subject to approval and any applicable fees.
If your card is lost, stolen, or damaged, please report it immediately via the WINITY support team. Depending on your eligibility and our verification processes, you may receive a virtual or physical replacement card. Additional identity verification may be required to complete the replacement process.
WINITY reserves the right to refuse redistribution or replace a card at its discretion, particularly in cases of suspected abuse or account misuse; all decisions relating to this by WINITY are final.
Users are responsible for ensuring their contact details are current to avoid delays in receiving replacement or renewal cards.
WINITY may refuse to reissue or replace cards at its discretion, including where accounts are deemed dormant, associated with high-risk activity, or restricted for compliance or regulatory reasons and this decision by WINITY is final and unappealable. Accounts without qualifying activity may be marked as dormant and subject to administrative handling, including suspension or closure, in line with the Terms of Use.
Digital Wallet Integration (Google Pay)
You may add your approved WINITY card to supported digital wallet Google Pay, provided your device and operating system meet compatibility requirements. Access to these features is conditional on your continued eligibility and compliance with our terms.
Adding your card to a Digital Wallet enables you to conduct transactions using your compatible mobile device at participating merchants that accept contactless payments via the Visa® network.
Use of your card through a Digital Wallet remains subject to all terms of use governing your WINITY card and wallet. All applicable fees, usage restrictions, and transaction limits continue to apply.
WINITY reserves the right to decline, suspend, or restrict access to Digital Wallet functionality at any time, including for reasons related to security, device integrity, or policy violations. You may be required to complete additional identity verification before reactivating or reinstating access.
By using your WINITY card through a Digital Wallet, you also agree to the applicable terms set forth by Google LLC, including their privacy policies and end-user license agreements. Additionally, you agree to any applicable Partner terms provided by the regulated financial institutions supporting the WINITY program. These Partner terms govern card distribution, custody services, and asset conversion. In the event of conflict, the Partner’s regulated terms shall prevail for the services they provide. WINITY is not responsible for the accuracy, security, or operation of any third-party software or devices.
Users are solely responsible for maintaining the security of their device and should take appropriate precautions, such as enabling passcodes, biometric locks, and encrypted storage. Your use of the Digital Wallet feature may also be restricted or suspended by Google LLC independently of WINITY. In such cases, your WINITY card may no longer be functional on that device even if it remains valid elsewhere. You must notify us immediately if your device is lost or stolen, or if you suspect unauthorised access.
Availability of Digital Wallet features may vary depending on your region, device, or operating system. Not all merchants support contactless payments, and WINITY makes no guarantee regarding third-party acceptance or functionality.
By using a WINITY card through a Digital Wallet, you acknowledge that use of digital financial services involves operational and financial risks, including—but not limited to—device compatibility issues, biometric lockouts, jurisdictional restrictions, or third-party wallet suspensions. The use of your WINITY card in a Digital Wallet does not alter or eliminate any of your obligations under these Terms or our card program.
You are responsible for ensuring that your device is properly configured to support Digital Wallet use, including any required OS version, biometric features, or connectivity. Some merchants, banks, or ATMs may not support wallet-based transactions. WINITY makes no guarantee of acceptance or functionality for any third-party device or terminal.
Network Responsibilities & Limitations
WINITY cards are issued in partnership with a licensed financial institution and processed through the Visa® payment network. Visa is not a party to these Terms and assumes no responsibility for the delivery, quality, or merchantability of any goods or services purchased using your WINITY card.
You acknowledge that Visa’s role is limited to processing approved card transactions and enforcing general network rules. All service-related obligations, including customer support, dispute resolution, and technical assistance, remain solely with WINITY and our issuing partner.
WINITY is not liable for any third-party restrictions, including merchant acceptance policies or limitations placed on Visa by participating banks, processors, or governments.
Customer Service & Communications
You may contact the WINITY Support Team through our in-app support function or by emailing support@winity.life.
WINITY may communicate with users via email, in-app notifications, or secure messaging to deliver service updates, policy changes, or action requests. You are responsible for maintaining up-to-date contact information in your profile.
All communications are considered received upon dispatch to your last known email address or device. We recommend regularly checking your email and WINITY app for updates.
Support requests related to lost cards, suspected fraud, or account restrictions will be prioritised in accordance with your tier and eligibility level.
Termination & Suspension of Services
WINITY may, at its sole discretion and without prior notice, suspend or terminate your access to services for any reason, including but not limited to:
- Suspected fraudulent activity or misuse
- Non-compliance with these Terms
- Regulatory request or legal obligation
Users may also request to close their account by contacting support. Upon termination, all outstanding fees become immediately due. Any available balance may be refunded in accordance with applicable regulations and verification requirements.
Disclaimers of Warranty
WINITY services are provided “as is” and “as available,” without warranties of any kind, express or implied. We do not warrant that services will be uninterrupted, error-free, or free of harmful components.
We disclaim all warranties of merchantability, fitness for a particular purpose, or non-infringement. Any material accessed through WINITY services is at your own discretion and risk.
Third-Party Services & Technology
WINITY may enable the use of third-party tools, applications, or APIs to enhance your experience (e.g., biometric authentication, app push notifications, AI-based budgeting tools). Your use of these tools is at your discretion and subject to the third-party’s own terms.
WINITY does not control or endorse any third-party content, software, or terms of service. We are not responsible for loss, disruption, or liability resulting from third-party platforms, including—but not limited to—operating system updates, mobile wallet outages, network connectivity, or device-level configurations.
It is your responsibility to review and comply with the terms of any integrated third-party service you use in conjunction with WINITY.
Limitation of Liability
To the fullest extent permitted by law, WINITY, its affiliates, and service providers shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities.
You agree that the total liability of WINITY in any event, if any and whether contractual, at common law or adjudged, shall not exceed the total amount of fees paid by you to WINITY for the two (2) months preceding the event giving rise to the claim.
Changes to Terms
WINITY reserves the right to modify these Terms at any time to reflect changes in law, technology, card issuer rules, or program features.
We will notify users of material changes through email or app-based communication at least seven (7) days prior to the effective date, where legally required. Your continued use of WINITY services following such updates constitutes your acceptance of the revised Terms.
If you do not agree to the revised Terms, you may request account closure by contacting support before the new terms take effect.
Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Hong Kong. Notwithstanding any other relevant laws, by agreeing to this Agreement, you contractually agree to be bound by this arbitration provision and you waive your rights absolutely to any class action to resolve any disputes that occur.
Any dispute that cannot be resolved through WINITY Support within 60 days shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules then in force.
The seat of arbitration shall be Hong Kong, presided over by a single arbitrator. The language of arbitration shall be English.
Nothing in these Terms prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction.
Severability, Assignment & Entire Agreement
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
You may not assign or transfer your rights or obligations under these Terms without prior written consent from WINITY. We may assign these Terms in connection with a corporate reorganisation, merger, or sale.
These Terms constitute the entire agreement between you and WINITY concerning the subject matter hereof and supersede all prior agreements or communications.
By using WINITY, and any and all of our services and platforms, you acknowledge that you have read, understood, and agreed to the information and disclaimers set out herein.
